15. |
RESOLUTIONS |
| |
|
Any Resolution passed by the Management Committee or
by the Members at any general meeting shall be
conclusively evidenced by a copy of the Minutes of
such Meeting as signed by the Chairman |

16. |
LIMITATION OF RIGHTS AND LIABILITIES OF MEMBERS |
| |
|
No member shall, purely by his membership, incur any
personal financial liability in respect of any claim
or action brought against the Association |
| |
|
|
| |
17. |
ALTERATIONS OR ADDITIONS TO THE CONSTITUTION |
| |
|
This Constitution may not be altered, amended or
added to, except at a Biennial General Meeting or a
Special General Meeting and such alterations,
amendments or additions must be approved of by at
least two-thirds of the members present and entitled
to vote |

18. |
WINDING UP OR DISSOLUTION OF THE ASSOCIATION |

a) |
The Association may
be dissolved if at least two thirds of the members
present and voting at the General Meeting of Members
convened for the purpose of considering such matter
are in favour of dissolution. Not less than
twenty one (21) day's notice shall be given of such
meeting and the Notice convening the meeting shall
clearly state that the question of dissolution of the
Association and the disposal of its assets will be
considered. If there is no quorum at such
General Meeting, the meeting shall stand adjourned
for not less than one week and the Members attending
such adjourned meeting shall constitute a quorum

b) |
If upon dissolution
of the Association there remain any assets whatsoever
after the satisfaction of all its debts and
liabilities, such assets shall not be paid to or
distributed among its members but shall be given to
such other organisation(s) (preferably having similar
objectives) which are authorised to collect
contributions in terms of the Non-Profit
Organisations Act, 1997 (Act 71 of 1997) as may be
decided to dissolve the Association or, in default of
such decision, as may be decided by the Director:
